naoveil terms of use
Last updated: October 14, 2026
These terms govern your use of naoveil, including the Excel add-in, the desktop app, the command-line tool and naoveil.naosuu.com (together, "naoveil"), provided by naosuu LLC ("naosuu", "we"), 418 Broadway, Suite N, Albany, NY 12207, United States. Some files and settings, such as earlier exports, study mapping workbooks and the desktop installer, may still show the earlier names "Naosuu Research" or "Naosuu". If you use naoveil on behalf of an organisation, you accept these terms for that organisation and confirm that you are authorised to do so. If you have signed a pilot or licence agreement with us, that agreement takes precedence where it differs from these terms.
1. What naoveil is
naoveil is software that helps you remove or disguise identifying details in tabular research data on your own computer. It suggests an action for each column, applies the actions you approve, and produces a processing record.
2. Development status
naoveil is in development and is offered for evaluation and pilot use. Features may change, and it may contain errors. During the pilot, naoveil is free, and pilot access may end at any time. Do not rely on naoveil as your only safeguard.
3. Your responsibilities
You are responsible for:
- the data you process with naoveil, and for having the right to process it;
- reviewing every suggestion and decision before you share any output;
- deciding whether output may be shared, and obtaining any approvals required by your institution, IRB, ethics committee, privacy office, data-use agreements or applicable law;
- sharing only processed data: in Excel, the workbook you work in still contains your original data, so copy the processed sheet to a new workbook before sharing it;
- keeping study mapping files and their passphrases confidential and in storage your institution approves, and keeping your devices secure;
- treating the processing record as part of the dataset's records, and keeping personal information out of file names and purpose notes; and
- handling processed data as your data agreements require, since pseudonymised data can still be personal data.
4. What naoveil does not do
- naoveil does not certify that data is anonymous, de-identified under HIPAA, or compliant with any law. A completed run is not a compliance determination.
- naoveil's suggestions are automated and can be wrong or incomplete. It works on columns and does not find identifiers inside free text.
- naoveil is not a medical device and is not intended for diagnosis, treatment or clinical decision-making.
5. Your data
naoveil runs on your computer, and we do not receive the data you process. We do not act as your business associate under HIPAA or as your processor under data protection law, and we do not sign business associate agreements for naoveil. Our naoveil privacy notice explains the limited personal information we do collect.
6. Support
When you ask for help, describe the problem or use synthetic example data. Do not send us research data, patient information or files containing personal information, and do not show real data during a screen-share. If we receive such data, we will delete it and record that we did, and receiving it does not make us your business associate or processor.
7. Licence
Subject to these terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use naoveil for your internal research and business purposes. You may not:
- copy, modify, distribute, sell or sublicense naoveil, except as allowed by the open-source licences of included components;
- reverse engineer naoveil, except where the law allows it;
- remove notices, or circumvent licence keys or security features; or
- use naoveil to re-identify individuals or for any unlawful purpose.
8. Fees and taxes
After the pilot, paid licences will be sold to organisations through Stripe or by invoice, on the terms set out in the order or invoice, including price, licence term, renewal and cancellation. naoveil does not contact our servers to check a licence.
Prices exclude taxes. You are responsible for applicable taxes, such as sales tax or VAT. For organisations in the European Union that provide a valid VAT number, VAT is accounted for by the customer under the reverse-charge mechanism.
9. Microsoft platforms
The Excel add-in runs in Microsoft Excel, and the desktop app runs on Windows or macOS. Your use of those platforms is governed by your agreements with their providers. If you obtained naoveil through Microsoft Marketplace or Microsoft Store, Microsoft's terms for those stores also apply, and Microsoft is not responsible for naoveil.
10. Open-source components
naoveil includes open-source components licensed under their own terms, listed in the third-party notices that ship with naoveil.
11. Feedback
If you send us feedback, we may use it without obligation to you. Feedback must not include personal information or research data.
12. Intellectual property
naoveil and its content are owned by naosuu and its licensors. These terms give you no rights except the licence in section 7.
13. Disclaimers
NAOVEIL IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT OUTPUT IS DE-IDENTIFIED, ANONYMOUS OR COMPLIANT WITH ANY LAW.
14. Limitation of liability
TO THE EXTENT PERMITTED BY LAW, NAOSUU WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO NAOVEIL IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID FOR NAOVEIL IN THE 12 MONTHS BEFORE THE CLAIM AND USD 100.
15. Indemnity
You will defend and indemnify naosuu against third-party claims arising from data you process with naoveil, your sharing of output, or your breach of these terms or applicable law, except where a signed agreement with us provides otherwise.
16. Suspension and termination
You may stop using naoveil at any time. We may suspend or end your access if you breach these terms or if we discontinue naoveil. Sections 4 to 6 and 10 to 17 survive termination.
17. Governing law and dispute resolution
These terms are governed by the laws of the State of New York, United States, without regard to conflict-of-law principles.
- Informal resolution. Before filing any formal legal claim, you agree to contact us at info@naosuu.com and attempt to resolve the dispute informally for at least 30 days.
- Arbitration. If informal resolution fails, any dispute arising from or relating to these terms or naoveil shall be resolved by binding individual arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent infringement of intellectual property or unauthorised use of naoveil.
- Class action waiver. You waive any right to participate in a class action lawsuit or class-wide arbitration.
- Small claims. Either party may bring an individual claim in small claims court.
18. Changes
We may update these terms. We will change the date above and, for significant changes, notify pilot participants and licence holders directly. Continued use after changes take effect means you accept them.
